What is LLP Name Change?

Name of the LLP is its unique identity of the business start-up, and the same is found in the LLP Agreement. In case the management of the LLP desires to change the name of the LLP, then it can be done with the consent of its partners and the approval of the registrar of companies

Need of Name Change of the LLP:

The need of name change of the LLP may arise when the management of the LLP wants to brand its business with new name or may be due to mergers and amalgamation, due to change in business activity. The LLP has to follow the procedure laid down in LLP Act, 2008 and Agreement. As the name of the LLP is mentioned on the Agreement, Pan card, Tan Number, GST Registration, etc.; after its change, the same must also be altered.

STEPS

Steps Involved for Name Change of the LLP:

Step-1: Obtain approval of the partners for change of name:

To decide on new name of the LLP. The partners need to decide in a properly convened meeting as per the LLP agreement. After the decision has arrived the same must be written and signed by the partners.

Step-2: Name Availability Application for change of name to ROC:

The next step after obtaining written consent of the partners for name change of the LLP. An Application has to be filed with CRC in RUN-LLP Form. The new name can be approved by CRC only if it is unique and not similar to the existing company or LLP.

Step-3: Application for Name Change of the LLP:

The application to change the name of the LLP is required to be filed with the ROC in Form No-5 of LLP along with altered LLP agreement. The amended LLP agreement need to be filed in Form No-3 of the LLP. After the satisfaction of ROC, a fresh Certificate of Incorporation is issued having the new name of the LLP.

  • Proposed Name(s) in order of preference.
  • Digital Signature (DSC) of any one of the Designated Partner of the LLP
